1. General Terms

1.1 This website is owned and operated by Fortmindz Private Limited.

1.3 The services provided by Fortmindz Private Limited include assigning remote employees (“resources”), such as developers, designers, and other professionals, to customer projects.
1.4 By submitting a request form, initiating a project, or otherwise engaging with Fortmindz, the customer agrees to these Terms of Use.

2. Resource Assignment and Project Engagement

2.1 Resources are full-time employees of Fortmindz Private Limited and work directly with customers.
2.2 Resource allocations, including working hours and start dates, will be confirmed via email communication.
2.3 Fortmindz provides initial training, including resource introductions and communication protocols.
2.4 Fortmindz offers tools such as Fortmindz Team and Fortmindz Share for project management and collaboration.
2.5 Customers are solely responsible for reviewing and accepting the performance of the work products developed by the assigned resources.

3. Cancellation and Idle Time

3.1 Customers may cancel assigned resources at any time after the test period by providing at least 15 days’ prior notice per resource.
3.2 In the event of idle time due to a lack of task assignment, such time will still be billable to the customer. Fortmindz will not be held responsible for unassigned idle time.

4. Third-Party Software and Project Costs

4.1 If resources require access to third-party software not available through Fortmindz, the customer must provide a valid license.
4.2 Customers are responsible for all project-related expenses, including but not limited to software licenses, travel, shipping, and other pre-approved costs (“Project Costs”).
4.3 These costs will be included in subsequent invoices unless agreed otherwise.

5. Changes to Resource Allocation

5.1 Fortmindz reserves the right to modify resource allocation terms, including rates or duties, with written notice to the customer.

6. Termination

6.1 By Customer:
The customer may terminate this Agreement at any time, provided all resource allocations have ended and any outstanding account balances are paid in full.

6.2 By Fortmindz:
Fortmindz may terminate this Agreement or suspend service at any time if the customer fails to fulfill any obligations, including timely payment of fees.

6.3 Effects of Termination:

• Upon termination, Fortmindz may charge fees for any final services rendered.

• No refunds will be issued for prior payments unless explicitly agreed in writing.

• The customer is responsible for all costs incurred due to termination, including reasonable administrative or legal fees.

• The customer must delete any licensed materials and may lose access to all data stored in Fortmindz’s tools or systems.

• Additional termination clauses may be specified in the resource allocation email or project-specific agreements.

7. Intellectual Property

All intellectual property rights related to Fortmindz’s tools, branding, and proprietary processes remain with Fortmindz Private Limited. Any work products created by assigned resources will be subject to mutually agreed IP ownership or licensing terms.

8. Modifications

Fortmindz reserves the right to update or modify these Terms of Use at any time. Continued use of the website or services after changes are posted constitutes acceptance of those changes.
